Role of the Non-Executive Directors
Non-Executive Directors provide independent oversight and constructive challenge, helping ensure the Fund is managed in the best interests of members and other stakeholders, and contributing to strategic decision-making and governance effectiveness.
Conflict management
Lead the identification and management of actual or perceived conflicts of interest, supporting transparency and integrity.
Strategic guidance
Contribute to the development and review of strategy, policies and long-term priorities aligned with the mandate.
Performance oversight
Monitor performance of the Fund and Executive Management against approved objectives, budgets, and targets.
Stakeholder stewardship
Safeguard member and stakeholder interests by promoting accountability and sustainable value creation.
Engagement with Management
Engage constructively with Executive Management, advisers, auditors, and legal counsel to support informed decision-making.
Board participation
Participate actively in Board and Committee meetings, contributing expertise and independent judgement.
Non-Executive Directors may meet separately, without Executive Management present, when circumstances require. During the year they met independently to consider Executive Management performance and other oversight matters.
The Board Charter
The Board is governed by an internal Board Charter setting the parameters within which it operates and ensuring good corporate governance in all its dealings. It defines the roles and responsibilities of the Board, its committees and individual Directors, including composition and procedures, and is aligned with the NSSF Act Cap 230, the UK Code and King IV™. The Board Charter is reviewed annually, and it sets the minimum standards for the Board in executing its duties.
